These Terms of Service (the “Terms”) govern your access to and use of TikPay’s websites, interfaces, token-launch tools, creator-reference features, verification tools, fee records, and related services (collectively, the “Service”). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility and acceptance
You must be at least 18 years old, have legal capacity to enter these Terms, and be permitted to use the Service under the laws that apply to you. You may not use TikPay where access to cryptoassets, token-launch services, or related functionality is prohibited or restricted. If you use TikPay for an organization, you represent that you are authorized to bind it.
2. TikPay’s role
TikPay provides technology that can help users create or submit token launches, associate one permanent public TikTok creator reference with a token, verify control of a referenced TikTok account, connect a Solana wallet, and record or facilitate eligible creator-fee claims.
TikPay is not a financial adviser, broker, dealer, exchange, investment manager, bank, custodian, fiduciary, insurer, guarantor, or tax or legal adviser. TikPay does not recommend any token or transaction and does not determine whether any transaction is suitable for you. Information on the Service is general product information, not investment, financial, legal, or tax advice. Obtain independent professional advice where appropriate.
3. Creator references are not endorsements
A community member or any other user may launch a token and enter a public TikTok username as its creator reference before that creator knows about the token or ever interacts with TikPay. The launcher is separate from the referenced creator and does not automatically receive the creator’s eligible fee allocation.
A TikTok username, creator reference, creator verification, or creator fee claim does not mean the creator endorses, sponsors, promotes, approves, supports, or is affiliated with a token. A creator receiving or claiming eligible fees does not by itself constitute endorsement or approval. TikPay does not present verification or fee claims as proof that a creator authorized, created, reviewed, promoted, endorsed, or supports a token.
Creator verification establishes control of the relevant TikTok account solely for TikPay’s creator-reference and payout functionality. Each token has one immutable normalized creator handle after launch, while one creator handle may be referenced by multiple tokens.
4. Token and market risk
Token launches, purchases, sales, trading, and holding involve substantial risk, including volatility, illiquidity, smart-contract and protocol failures, market manipulation, regulatory action, loss of access, and total loss. Meme tokens may have no intrinsic value or active market.
TikPay makes no guarantee about token value, liquidity, trading volume, market access, profits, creator fees, fee accrual, payout eligibility, payout timing, payout amount, or future performance. Displayed balances, estimates, market data, and sandbox records may be delayed, incomplete, simulated, or unavailable and should not be relied upon as financial records or advice.
5. Wallets, signatures, and blockchain transactions
TikPay is non-custodial with respect to creator and launcher wallets. TikPay never asks for or stores your seed phrase or private key. You are solely responsible for wallet security, devices, credentials, recovery methods, wallet compatibility, and every transaction you authorize.
Blockchain transactions may be irreversible. Verify the recipient, token mint, network, amount, and all transaction details before signing or sending. TikPay cannot recover assets sent to an incorrect address, reverse confirmed transactions, or restore access to your wallet.
6. Creator-fee allocation and claims
Where the applicable launch and provider mechanics support TikPay’s creator-fee model, TikPay’s intended economic allocation is 85% of eligible creator-fee amounts to the verified creator and 15% to TikPay. This allocation applies only to eligible amounts actually identified and processed under the relevant integration and is distinct from network, protocol, trading, launch, or other third-party fees.
The 85/15 allocation is not a guarantee of accrual or payment. Claims may require successful TikTok verification, wallet ownership verification, sufficient confirmed fee events, compliance review, provider availability, and any other checks described in the Service. No amount is paid merely because it appears in a demo, estimate, or pending record.
7. Your responsibilities
- Provide accurate launch, creator-reference, wallet, and transaction information.
- Verify wallet addresses and transaction details before signing or sending.
- Protect your wallet, private keys, seed phrases, devices, and browser sessions.
- Determine and pay all taxes, duties, reporting obligations, and fees that apply to you.
- Obtain any licenses, permissions, consents, or approvals required for your activity.
- Comply with applicable laws, sanctions, export controls, and third-party platform terms.
8. Prohibited conduct
You must not use TikPay to:
- commit fraud, theft, money laundering, sanctions evasion, or any unlawful activity;
- impersonate another person or falsely claim authorization, affiliation, or endorsement;
- manipulate markets, trading activity, prices, volume, fees, claims, or platform records;
- infringe intellectual property, privacy, publicity, or other rights;
- upload malicious code or abusive, deceptive, illegal, or unauthorized content;
- interfere with, overload, probe, reverse engineer, or circumvent Service safeguards; or
- violate TikTok, Pump.fun, wallet-provider, Solana ecosystem, or other third-party terms.
9. Third-party services and infrastructure
TikPay interoperates with services and infrastructure it does not own or control, which may include Solana, Pump.fun, wallets, token metadata services, RPC providers, market-data services, TikTok Login Kit, and other protocols or providers. Your use of them may be governed by separate terms and privacy policies.
Subject to applicable law, TikPay is not responsible for third-party outages, exploits, forks, upgrades, rule changes, delays, congestion, fees, inaccurate data, transaction failures, vulnerabilities, or discontinued functionality. Integrations may change or stop without notice.
10. Intellectual property and content
TikPay and its original software, interface, text, graphics, marks, and branding are protected by applicable intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, sell, license, or misuse TikPay branding or imply TikPay’s endorsement.
You retain rights in content you submit. You grant TikPay a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and process that content as reasonably necessary to operate, secure, and improve the Service. You represent that you have the rights needed to submit it. Public token metadata, creator references, and blockchain data may remain publicly accessible through third parties even if TikPay removes its own copy.
11. Suspension and termination
TikPay may restrict, suspend, or terminate access; reject or remove content; pause claims; or take protective measures when reasonably necessary to address suspected illegality, sanctions risk, fraud, impersonation, abuse, security threats, third-party requirements, or material breaches of these Terms. Where reasonably practicable and lawful, TikPay will provide notice. You may stop using the Service at any time.
12. Disclaimers of warranties
To the maximum extent permitted by applicable law, the Service is provided “as is” and “as available.” TikPay disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted or error-free operation. TikPay does not warrant that data is complete, current, or accurate, or that the Service will be secure or free from harmful components. Nothing in these Terms excludes warranties that cannot lawfully be excluded.
13. Assumption of risk and limitation of liability
You understand and voluntarily assume the risks of cryptoassets, wallets, smart contracts, irreversible transactions, creator references, and third-party protocols. To the maximum extent permitted by applicable law, TikPay and those involved in providing the Service will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, digital assets, or opportunities arising from the Service.
Any aggregate liability cap and legally required exceptions will be stated after TikPay’s operating entity and governing law are finalized. Nothing in these Terms excludes or limits liability where doing so would be unlawful, including liability that cannot be excluded for fraud, willful misconduct, or other matters under applicable law.
14. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless TikPay and those involved in operating the Service from third-party claims, losses, and reasonable costs arising from your content, your transactions, your breach of these Terms, your violation of law or third-party rights, or your misuse of the Service. This obligation does not apply to the extent a claim results from conduct for which indemnification cannot lawfully be required.
15. Governing law and disputes
Before production launch, the operator must complete the following provision: [Governing law and courts to be added before production launch]. Nothing in these Terms deprives you of mandatory consumer protections or rights that apply in your country of residence. The parties should first attempt in good faith to resolve a dispute through the contact method below before commencing formal proceedings, unless urgent relief or applicable law requires otherwise.
16. Changes and general terms
TikPay may update these Terms to reflect legal, security, technical, or product changes. Material changes will be identified by a revised effective date and, where required, additional notice. If a provision is unenforceable, the remaining provisions remain in effect. A failure to enforce a provision is not a waiver. You may not transfer these Terms without TikPay’s consent; TikPay may transfer them as part of a reorganization or transfer of the Service, subject to applicable law.
